Terms of Service

These Terms of Service govern your use of the Softflow Solutions website (softflowsolutions.com) and any services, proposals, statements of work, or engagements delivered by Softflow Solutions ("Softflow", "we", "us").

By engaging with us, signing a proposal, or using our website, you agree to these terms. If you do not agree, please do not use the site or engage our services.

A specific engagement is governed by a signed Statement of Work ("SOW") that takes precedence over these Terms where they conflict.

We provide software development, design, AI integration, DevOps, and related consulting services. The exact scope, deliverables, and timeline for any engagement are defined in the applicable SOW.

We may publish case studies, marketing material, and open-source contributions referencing the work we do. We will not publish anything that identifies you or your confidential information without your written consent.

Engagements are billed according to the schedule in the SOW — typically a deposit on signature, milestone-based draws, and a final payment on delivery.

Invoices are due within fourteen (14) days of issue unless otherwise stated. Late payments accrue interest at one and a half percent (1.5%) per month, or the maximum permitted by law.

You are responsible for any taxes, duties, or withholdings required by your jurisdiction, except for taxes on our net income.

On full payment for an engagement, we assign to you all intellectual property rights in the deliverables specifically created for you under the SOW, excluding any pre-existing tools, frameworks, or open-source components we use.

We retain the right to reuse general know-how, techniques, and non-confidential code patterns developed during the engagement.

You grant us a limited, non-exclusive licence to use your name and logo for the purpose of identifying you as a client, unless you request otherwise in writing.

Each party will treat the other party’s confidential information with the same care it uses to protect its own confidential information, and not less than reasonable care.

Confidential information does not include information that is publicly known, independently developed, or rightfully received from a third party without a duty of confidentiality.

This obligation survives termination of the engagement for a period of three (3) years.

We will perform the services in a professional and workmanlike manner, consistent with industry standards.

To the maximum extent permitted by law, our aggregate liability under or in connection with any engagement is capped at the fees paid by you to us in the twelve (12) months immediately preceding the event giving rise to the claim.

Neither party is liable for indirect, incidental, consequential, or punitive damages, even if advised of the possibility of such damages.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited by applicable law.

Either party may terminate an SOW for material breach with thirty (30) days written notice, provided the breaching party has not cured the breach within that period.

You may terminate a fixed-scope engagement at any time with written notice. You will pay for work performed up to the termination date and any non-cancellable commitments we have made on your behalf.

On termination, we will hand over all work-in-progress, deliverables, and account credentials that belong to you.

These Terms and any engagement governed by them are governed by the laws of India, without regard to its conflict-of-laws rules.

Any dispute arising out of or in connection with these Terms or an engagement will be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana, India.
